CONSTITUTION AND BY-LAWS
Of the
GRAND PRAIRIE ASSOCIATION OF WRESTLING

ARTICLE I
NAME AND LOCATION
This Non-Profit Organization shall be
known as the GRAND PRAIRIE ASSOCIATION OF WRESTLING (G.P.A.W.). Its
headquarters shall be in the City of Grand Prairie, Texas.
ARTICLE II
OBJECTIVES
The objectives of the G.P.A.W. shall be to
aid, encourage, and support the Youth Wrestling programs in Grand Prairie,
Texas and surrounding areas.
ARTICLE III
MEMBERSHIP
Any person of good moral character who is
interested in aiding, promoting and supporting Wrestling in Grand
Prairie, TX and who pays the prescribed annual dues shall be eligible for
membership. Registration of a wrestler with G.P.A.W. will satisfy the annual
dues and enable the parents membership into the G.P.A.W. and all the rights
therein.
ARTICLE IV
FISCAL YEAR
The fiscal year of the G.P.A.W., beginning
in 2005, shall begin the First of August, and end at midnight on the 31st of
July.
ARTICLE V
OFFICERS
Section 1. Elective
Officers: The elective officers of the G.P.A.W. shall be as follows and in
the order named:
President
Vice-President
Secretary
Treasurer
Historian
Section 2. Tenure and
Duties: The officers of the Association shall be elected at the annual
meeting, if present (at time predecessor officers have completed their
official business), and shall serve until their successors are duly elected.
At the end of the fiscal year all officers charged with duties under this
constitution shall, if requested by the President of the Executive
Committee, report in writing to the club their official acts, which reports
will be filed by the Secretary as a permanent record of the G.P.A.W..
Section 3: Nominations: There shall be three (3)
members of a nominations committee composed as follows:
(a) The Head Wrestling Coach of the
Grand Prairie Grizzlies team shall be one member of the
Nominations committee, if available to serve. If not available to serve,
the G.P.A.W. President shall appoint a Nominations Committee person in
his stead.
(b) The Executive Committee (see Article VI) shall appoint two (2)
members of the Nominations Committee who are other than members of the
Executive Committee.
Section 4: Removal from Office: An officer or Executive
Committee may be removed from office for delinquency, inefficiency, neglect
of duty, or for other cause in the same manner as prescribed in Article X
for the expulsion of a member.
Section 5: Vacancies in Office: In case of the death,
resignation or removal of the President, the Vice-President shall succeed to
office. In case of the death, resignation or removal of the Secretary or
Treasurer, the President with the approval of the Executive committee shall
fill the vacancy.
Section 6: Duties of the President: The President shall be
the chief executive officer of the Club, and chairman of the Executive
Committee. He shall preside over all G.P.A.W. events and shall perform such
other duties as required under this constitution and the by-laws adopted
pursuant thereto.
Section 7: Duties of the Vice President: The
Vice-President shall perform the duties of the President in his absence or
his inability to discharge the duties pertaining to his office, and any
other assigned duties.
Section 8: Duties of the Secretary: The Secretary shall
conduct the general correspondence of the G.P.A.W., keep a record of the
proceedings of the meetings of the G.P.A.W. and keep a rostrum of the
membership and committees of the G.P.A.W., maintain and preserve all
business records of the G.P.A.W., and perform such other duties as properly adopted
pursuant thereto.
Section 9: Duties of the Treasurer: The Treasurer shall
receive all monies due the G.P.A.W., depositing same to its credit in such
bank as may be designated in the by-laws: make disbursements of G.P.A.W.
funds only as authorized by the G.P.A.W. or Executive Committee, keep an
itemized record of all monies received, by who paid, and for what purpose
and submit an accounting to the Executive Committee, whenever requested by
it, and to the G.P.A.W. at the end of the fiscal year, and perform such
other duties as properly pursuant thereto. All records shall be secured in a
location that will be accessible to the board.
Section 10: Duties of the Historian: The
Historian shall maintain and preserve a record of all promotional
publications, news articles, photographs, and other historical
documents/records of the G.P.A.W., and perform such other duties as properly adopted
pursuant thereto.
ARTICLE VI
EXECUTIVE COMMITTEE
Section 1. The Executive Committee shall consist of all
Officers of the G.P.A.W., and the Head Wrestling Coach for Grand Prairie Grizzlies. In case an Executive Committee post is not occupied or
is vacated by operation of this Constitution, and the By-Laws thereof, the
President of the G.P.A.W. may, at his/her discretion, appoint a committee
person from the membership at large, to occupy said vacant post. The
chairman of the Executive Committee shall be the President of the G.P.A.W..
Section 2. The Executive Committee shall be the
administrative board of the G.P.A.W., and quorum thereof shall have the
power and authority between meetings to do and perform all acts and
functions, not violate of the constitution, which the G.P.A.W. might do or
perform at a regular meeting of the G.P.A.W..
Section 3. The Executive Committee shall, when receiving
the report of the Audit Committee of the audit of funds, entrusted to
Officers of the G.P.A.W., have authority to certify to the G.P.A.W. the
faithful performance of duty of officers even though a reasonable
discrepancy appears in the audit; provided, that the Executive Committee is
of the opinion that fraud has not be committed and only reasonable mistakes
in bookkeeping have caused a discrepancy.
Section 4. Quorum: Four (4) members of the Executive
Committee in good standing shall constitute a quorum for transaction of
business at all Executive sessions.
ARTICLE X
AUTHORITY TO ADOPT BY-LAWS
The Executive Committee shall have the
power and the authority to make and enforce such by-laws, rules and regulations it may deem necessary, not inconsistent with the
provisions of this
constitution; provided, that any by-laws increasing the admission fee for
membership in the
G.P.A.W. shall not take effect until approved by a majority vote of the
members present at an annual meeting of the G.P.A.W.
ARTICLE XI
AMENDMENT OF CONSTITUTION
This Constitution may be amended only in
one of the following manners.
(a) The affirmative vote of the
majority of the members in good standing at an annual meeting of the
Association.
(b) The affirmative vote of the majority of the members in good standing
at a regular meeting of the Association when notice of intent to change
the Constitution has been previously announced.
ARTICLE XII
EFFECTIVE DATE
If this Constitution is adopted by a vote
of the majority of the prospective members attending the Association
meeting, to be held at a place and time to be determined by the Head
Wrestling Coach of the Grand Prairie Grizzlies but to occur no later than April 1,2005, it shall take
effect on April 1, 2005, subject to the following provision(s):
(a) The annual meeting and election of
officers for the ensuing fiscal year shall be in the manner and at the
time and place provided in this Constitution and the by-laws thereof.
BY-LAWS
The following By-Laws are adopted
according to Article XI, Authority to Adopt By-Laws:

The following membership shall apply
and the payment thereof shall constitute payment of dues for the fiscal
year for which the member joins the Association.
a. Wrestler Registration $ 95.00
(includes 1 Individual G.P.A.W. Membership)
b. Individual G.P.A.W. $ 10.00
c. Family Membership $ 20.00
d. Lifetime Membership $ 50.00

G.P.A.W. will serve as the parent body
of the G.P.A.W. Grizzlies and as a charter member of the TX-USA
Wrestling, will adhere to all the regulations established therein.

Parents of G.P.A.W. registered
wrestlers or approved designees are required to participate in three
fund-raising activities per year.

The annual meeting of the Association,
beginning in 2005, shall be held each year on August 15th. It shall
be the responsibility of the board to properly announce and inform all
membership of the place and time of the annual meeting.

The depository of Association funds
shall be Texas Trust Credit Union.

All funds dispersed shall require two
signatures on each check, consisting of those of the Treasurer and
another officer of G.P.A.W.
